1. Introduction

These Terms and Conditions govern all transactions between NorthStar Global Trade Ltd. ("Company," "we," "our," or "us") and our suppliers and buyers. By engaging in business with us, you agree to comply with these terms.

2. Supplier Terms

  • Suppliers must ensure that all goods meet the agreed quality standards and comply with Canadian export regulations.

  • Shipments must be properly packaged and labeled according to international trade and shipping requirements.

  • Any delay or issue with order fulfillment must be communicated immediately.

  • NorthStar Global Trade Ltd. reserves the right to inspect goods before acceptance.

  • Payments to suppliers will be made as per agreed terms and conditions in the purchase agreement

3. Buyer Terms

  • Buyers must provide all necessary import documentation and comply with local customs regulations.

  • Orders are subject to availability and may be adjusted based on supplier stock.

  • Payment terms will be specified in the sales contract and must be adhered to.

  • Any claims related to product quality or shipment discrepancies must be reported within 7 days of receiving the goods.

  • Buyers are responsible for any additional import duties, tariffs, or taxes in their respective countries.

4. Shipping and Logistics

  • We arrange shipping through trusted third-party logistics providers, and transit times may vary.

  • NorthStar Global Trade Ltd. is not liable for delays caused by customs clearance, natural disasters, or other unforeseen circumstances.

  • Risk of loss passes to the buyer once goods are handed over to the shipping carrier.

5. Force Majeure

Neither party shall be held liable for failure to perform obligations due to unforeseen circumstances such as natural disasters, war, government restrictions, or any event beyond reasonable control.

6. Dispute Resolution

Any disputes arising from these terms shall be resolved through negotiation. If unresolved, disputes will be subject to arbitration under the laws of Alberta, Canada.

7. Governing Law

These Terms and Conditions are governed by the laws of Alberta, Canada. Any legal proceedings shall take place in the courts of Calgary, AB.

8. Amendments

We reserve the right to update these Terms and Conditions at any time. Continued business engagement after updates constitutes acceptance of the revised terms.
